The agreement between Zanora LLC and everyone who uses the Zanora platform — buyers, sellers, and the agents acting for them.

Effective date: October 1, 2026

Changes from the previous version

These Terms replace the version effective September 30, 2026. The changes: the platform fee rises from 3% to 5% of each paid call (section 8); each seller payout carries a flat payout fee of $0.25 (section 8); a balance refunded to a card is returned less the card processing fee (section 6); and card top-ups and payouts have minimum amounts (section 6, section 9).

These Terms of Service (the Terms) are an agreement between Zanora LLC (Zanora, we, us) and you. They cover your use of the Zanora platform: the API at api.zanora.dev, the console at console.zanora.dev, this documentation site, and the Zanora software packages (together, the Services).

Please read them carefully. By creating an account, getting an API key, or using the Services in any other way, you agree to these Terms and to our Privacy Policy. If you use the Services on behalf of a company or other organisation, you confirm that you are authorised to accept these Terms for it. In that case, you means that organisation.

In short

Zanora is software that lets AI agents find and pay for APIs and tools. You're responsible for your account, your keys, and what your agents buy. Sellers are responsible for what they sell. Money is held by our payment partners, not by Zanora. Sellers pay a platform fee of 5% of each paid call and $0.25 per payout, unless we tell you otherwise. Buyers pay no platform fee. The full terms below are what apply; this summary isn't a substitute for them.

1. What Zanora does

Zanora is a technology platform. It provides:

  • a registry where sellers list capabilities (HTTP APIs and MCP tools) with a price per call;
  • discovery, which lets buyers and their agents search those listings;
  • wallets and a ledger that record the balance a buyer can spend and a seller has earned;
  • a policy engine that applies the spending rules a buyer sets; and
  • the x402 payment flow, in which a buyer's agent pays for a call and receives a receipt signed by Zanora.

Zanora is not a party to the transaction between a buyer and a seller. The seller provides the capability, and the buyer buys it from the seller. Zanora provides the marketplace, collects payment on the seller's behalf, and passes the seller's share on to them.

Zanora is not a bank. A wallet balance is a record of your entitlement under these Terms. It isn't a deposit account, it doesn't earn interest, and it isn't insured by the FDIC or any government scheme. The money behind wallet balances is held by our regulated payment partners (see section 6), not by Zanora directly.

2. Eligibility

To use the Services you must:

  • be at least 18 years old and able to form a binding contract;
  • use the Services for business or professional purposes, not as a consumer;
  • not be located in, organised under the laws of, or ordinarily resident in a country or region subject to comprehensive U.S. sanctions; and
  • not be on, or owned or controlled by anyone on, a U.S. or other applicable sanctions or restricted-party list.

We may ask for information to confirm any of this, and we may refuse or close an account if we can't.

3. Accounts and credentials

Your account

When you sign up you create a tenant: a workspace if you're a buyer or a provider if you're a seller. Nothing is created until you confirm your email address. You agree to give accurate information when you sign up and to keep it up to date.

Your API keys and passwords

Access to your account is by API key and, for the console, by email and password. You're responsible for everything done with your credentials, including by any person, program or AI agent you give them to.

  • Keep keys and passwords secret. Zanora stores only a one-way hash of each key and can't show you a key again.
  • Give each service or agent the narrowest key that works. The Accounts and API keys page explains how.
  • If you think a key or password has been exposed, revoke or change it immediately and tell us at support@zanora.dev.

Until you revoke a key, we'll treat requests made with it as authorised by you.

Operator review

Zanora staff can see account details and transaction records to run the platform, verify sellers, investigate problems and meet legal obligations. The Privacy Policy describes this.

4. AI agents acting for you

The Services are built for software to buy on your behalf. That's useful, and it has consequences you should understand.

You're responsible for what your agents do. An agent using a key or wallet signing key you issued acts for you. A purchase it makes is your purchase, even if the agent misunderstood its instructions, was manipulated (for example by prompt injection), or made a mistake.

Spending controls are yours to set. Zanora enforces the budgets, rules and approval requirements you configure, on our servers, before any money moves (see Spending policies and Approvals). We don't decide what your agent should buy and we don't review purchases that your rules allow. Setting limits that match what you're willing to spend is your job.

Approvals are a person's decision. If you let an agent's key record approvals, the agent can approve its own held purchases. If that's not what you want, give agents keys without the approvals:write scope.

An agent can't add money. Funding a wallet is always a person's action. An agent can only spend what's already there.

5. Buying

Price and payment

Each capability has a price per call set by its seller. When your agent calls a paid capability, it receives a signed payment challenge that states the price. The price in that challenge is the price you pay, and it's taken from your wallet only after your spending rules allow the call.

Receipts

Every paid call produces a receipt signed by Zanora. It records the amount, the parties (as opaque ids) and a hash of the response the seller returned. A receipt is evidence that a payment happened and what it was for. It isn't a guarantee of the quality or accuracy of the response.

Failed calls and refunds

  • If a call fails — the seller's service returns an error, throws, times out or never responds — your wallet is refunded automatically. The refund appears as a new ledger entry; the original charge stays in your history.
  • If a call succeeds but you're unhappy with the result, contact the seller first. You can also email support@zanora.dev within 30 days of the purchase with the receipt id. We'll review it, and may, at our discretion, reverse the charge by posting an offsetting entry. We're not obliged to refund a successful call.
  • Ratings you give sellers must be honest and must relate to a purchase you actually made.

Capabilities you run yourself

Some listings are software packages that run on your own machine instead of the seller's server. These can't be bought through Zanora at the moment; they're listed for discovery only. If you choose to install and run one, you do so directly with its publisher and at your own risk. Zanora doesn't review, host or run that code.

6. Funding a wallet

How you can fund

You can add money to a wallet by card, processed by Stripe, or by sending USDC on the Base network to a deposit address provided through Circle. Other methods may appear in the API as preview features; see section 10.

When you fund by card, your card details go directly to Stripe and are subject to Stripe's terms. Zanora never receives your full card number.

Card top-ups have a minimum amount, shown in the console when you top up ($25, or $50 for a card issued outside the United States, unless we tell you otherwise). USDC deposits have no minimum.

When money is credited

A wallet is credited when the payment provider confirms the payment, not when you start it.

  • USDC is credited in U.S. dollars at 1:1. If USDC is trading more than 0.5% away from $1.00 when your deposit arrives, the deposit is held and credited once the price returns to that range. We don't credit it at a guessed rate.
  • Send only USDC on Base to a deposit address. Other tokens, or USDC on other networks, won't be credited and may not be recoverable. We'll try to help, but we can't promise to.
  • Funding is subject to limits (see Funding a wallet). A card top-up over a limit is refused before you're charged. A USDC deposit over a limit is held until it fits, or until we credit or return it at your request.

Card disputes and chargebacks

If you dispute a card payment with your card issuer, the disputed amount is removed from the wallet it funded when the payment processor takes it back. The wallet may go negative if the money was already spent. A negative balance is an amount you owe Zanora, and you agree to pay it. A wallet with a negative balance can't make purchases. If the dispute is decided in your favour, the amount is credited back.

Please contact us before disputing a charge — most problems can be fixed faster that way.

Withdrawals by buyers

Buyer wallets are for spending on the Services. If you close your account with money left in a buyer wallet, we'll return the remaining balance, less any amounts you owe, to the original payment method or a USDC address you've verified as yours, subject to section 12. A balance returned to a card is refunded less the processing fee the card processor charged on that top-up, because the processor doesn't return its fee to us when we refund. We deduct it once for each top-up. Email support@zanora.dev if you want it returned to a USDC address.

7. Selling

Listing a capability

If you're a seller, you can publish capabilities with a price, a description and the address buyers call. You agree that:

  • you have every right needed to offer the capability and to let buyers use its output;
  • your listing is accurate: the capability does what its description says, at the price it states;
  • your service complies with applicable law and with section 11; and
  • you'll keep your service available and responsive, or deprecate the listing.

You keep ownership of your capability and its content. You grant Zanora a worldwide, non-exclusive, royalty-free licence to host, copy, display, index, rank and describe your listings, including your name, logo and listing text, so that we can run discovery and promote the Services. This licence ends when you remove the listing, except for copies in backups and records we're required to keep.

Verification

New sellers are hidden from discovery until a Zanora operator verifies them. Verification is at our discretion. We may ask for information about you and your business, deny a request with a reason, and withdraw verification later. Verification means we checked you're a real business at a point in time. It isn't an endorsement of your capability.

Your relationship with buyers

You're the provider of your capability. You're responsible for its quality, for any warranties you give, for your own terms with buyers (which may not conflict with these Terms), and for handling complaints about it. You must not charge buyers outside Zanora for a call they've paid for through Zanora.

Taxes

You're responsible for determining and paying any taxes on your sales and earnings. We may ask for tax information (such as a W-9 or W-8 form) and may withhold payouts until we receive it or where the law requires withholding.

8. Fees and seller earnings

The platform fee

Zanora charges sellers a platform fee of 5% of the price of each paid call, unless we've agreed a different rate with you in writing. The fee is rounded down to the cent, so any rounding goes to the seller. The seller receives the price less the fee in their settlement wallet shortly after the call succeeds. The console shows the fee that currently applies.

Buyers don't pay a separate platform fee on purchases. Your card issuer or bank, or the blockchain network, may charge you its own fees.

The payout fee

Each payout to a seller carries a flat payout fee of $0.25, unless we've agreed otherwise with you in writing. It's taken from the amount you pay out: a $20.00 payout sends you $19.75. It covers the network fee for sending USDC, which we pay. If a payout fails or comes back, the fee is returned with it. The console shows the payout fee that currently applies.

Changes to fees

We may change our fees with at least 30 days' notice. A decrease can take effect straight away. A change to the platform fee applies to calls made after it takes effect, and a change to the payout fee applies to payouts requested after it takes effect.

Clearing period

Because card payments can be disputed after they're spent, seller earnings clear before they can be paid out: 7 days by default. Earnings count in your balance straight away, but you can withdraw them only once they've cleared. We may change the clearing period, or hold specific earnings longer, where we reasonably suspect fraud or another risk.

Holds for disputes

If a buyer's card payment is disputed, the earnings you received from that buyer since that payment may be held, up to the disputed amount, until the dispute is resolved. If the dispute is lost and we reasonably determine that the purchases were part of fraud, we may return the held earnings to the buyer's wallet. We'll tell you if that happens.

9. Payouts

How payouts work

Sellers are paid in USDC on the Base network to a destination address the seller registers. Payouts are made when you ask for them, from your withdrawable balance, subject to limits, a minimum payout ($10 unless we tell you otherwise) and the payout fee.

  • You're responsible for your payout address. Blockchain transfers can't be reversed. A payout sent to the address you registered is final, even if the address is wrong or you've lost access to it.
  • Changing your payout address freezes payouts for 24 hours and triggers an alert, to protect you if a credential is stolen.
  • A payout isn't finished when you request it. It's final when the network confirms it. If it comes back, your wallet is re-credited.
  • Every payout address is screened against sanctions lists before we send. We'll refuse a payout to an address that screening flags, and we may pause payouts if a screening or pricing service is unavailable.

When we may delay or withhold a payout

We may delay, hold or refuse a payout, or reduce a balance by posting an offsetting ledger entry, where we reasonably believe it's needed to:

  • cover a refund, chargeback, dispute, or an amount you owe us;
  • correct an error, such as a duplicate or mistaken credit;
  • investigate suspected fraud, abuse or a breach of these Terms; or
  • comply with the law, a court order, or a request from a regulator or law enforcement.

We'll tell you when we do this, unless the law prevents us.

10. Preview features

Some features are marked preview in the documentation or API — for example bank funding and bank-transfer payouts. Preview features may be incomplete, may change or be withdrawn without notice, may not be available on every deployment, and are provided "as is" without any commitment of availability or support. Don't depend on them for production.

11. Acceptable use

You agree not to use the Services, or let anyone (or any agent) use them, to:

  • break any law, or help anyone else to;
  • sell, buy or deliver anything illegal, including content that infringes someone else's rights, malware, stolen data, or personal data you have no right to share;
  • deal with anyone subject to sanctions, or to move money for them;
  • launder money, finance terrorism, or disguise where funds came from;
  • commit fraud, including fake purchases, self-dealing to inflate a listing's ratings or ranking, or paying yourself with a stolen card;
  • misrepresent a capability, impersonate another person or seller, or misuse a receipt (for example by citing it for a response it doesn't cover);
  • get around spending policies, verification, rate limits, payment, or any other control, or use the Services without paying for them;
  • probe, scan or test the vulnerability of the Services without our written permission, or interfere with their operation;
  • access another tenant's data, keys or wallets; or
  • resell or white-label the Services without our written agreement.

We may remove listings and suspend keys or accounts that we reasonably believe break these rules.

12. Compliance and sanctions

We're required to comply with sanctions and anti-money-laundering laws. To do so we may screen addresses and accounts, ask you for identity or business information, refuse or delay any funding, purchase or payout, and report activity to the authorities where the law requires. We don't have to tell you why we've taken one of these steps if the law prohibits it.

13. Suspension and termination

You can stop using the Services at any time. To close your account, use Settings → Close account in the console, or email support@zanora.dev.

We may suspend or close your account, revoke keys, or remove listings, with or without notice, if you breach these Terms, if we're required to by law, if your use creates risk for Zanora or other users, or if we stop offering the Services. Where we can, we'll give you notice and a chance to fix the problem first.

When an account closes:

  • remaining seller earnings that have cleared and aren't held or owed are paid out to your registered address, subject to section 9 and section 12;
  • remaining buyer balances are handled as described in section 6;
  • your account details are deleted within 90 days, and ledger entries, receipts and other financial records may be retained, as described in our Privacy Policy; and
  • sections that by their nature should survive — including 8, 9, 14 to 19 — survive.

14. Intellectual property

We own the Services, including the platform, the console, the documentation and our trademarks. Subject to these Terms, we give you a limited, non-exclusive, non-transferable, revocable right to use the Services for your business.

Zanora's published software packages (such as @zanora/sdk, @zanora/mcp and @zanora/middleware-express) are licensed under the licence included with each package, currently the Apache License 2.0. That licence governs the code; these Terms govern your use of the hosted Services.

If you send us feedback or suggestions, we may use them without any obligation to you.

15. Third-party services

The Services rely on third parties, including Stripe (card payments), Circle (USDC custody and transfers), sanctions-screening providers, and hosting providers. Your use of some features may also be subject to their terms. We're not responsible for their services, but we choose them with care and hold them to contracts that protect your data (see the Privacy Policy).

Capabilities listed by sellers are third-party services too. Zanora doesn't control them, and we aren't responsible for what they do or return.

16. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT THE LAW ALLOWS, ZANORA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT.

In particular, Zanora doesn't warrant that:

  • the Services will be uninterrupted, error-free or secure;
  • any capability listed by a seller will work, be accurate, or be fit for your purpose;
  • discovery results, rankings or ratings are complete or correct; or
  • an AI agent will behave as you intended.

Search rankings consider price, latency, ratings, verification and relevance. They aren't a recommendation.

17. Limitation of liability

TO THE FULLEST EXTENT THE LAW ALLOWS:

  • ZANORA WON'T BE LIABLE FOR any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising out of or relating to the Services or these Terms, even if we were told they were possible; and
  • ZANORA'S TOTAL LIABILITY for all claims arising out of or relating to the Services or these Terms is limited to the greater of (a) the platform fees you paid or generated for Zanora in the 12 months before the event giving rise to the claim, and (b) US $100.

These limits don't apply to amounts we owe you as a correctly recorded wallet balance, or to liability that can't be limited by law.

18. Indemnity

You'll defend, indemnify and hold harmless Zanora and its members, officers and employees from any third-party claim, and the losses, damages and reasonable legal fees that result, arising from: your use of the Services; purchases made by your agents or with your credentials; your capabilities and listings (if you're a seller); your breach of these Terms; or your breach of any law or third-party right.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in New Castle County, Delaware, and each party consents to their jurisdiction.

Before starting any claim, please email support@zanora.dev so we can try to resolve it informally. Neither party may start formal proceedings until 30 days after that notice, except to seek urgent injunctive relief.

20. Changes to these Terms

We may update these Terms from time to time. We'll change the effective date above, and for material changes we'll give at least 30 days' notice by email or in the console before they take effect. If you keep using the Services after a change takes effect, you accept the updated Terms. If you don't agree, stop using the Services and close your account.

21. General

  • Entire agreement. These Terms, the Privacy Policy, and any written agreement we sign with you are the whole agreement between us about the Services.
  • Assignment. You may not transfer these Terms without our written consent. We may transfer them in connection with a merger, acquisition or sale of assets.
  • Severability. If a court finds part of these Terms unenforceable, the rest stays in effect.
  • No waiver. Not enforcing a right isn't a waiver of it.
  • Force majeure. Neither party is liable for delays caused by events beyond its reasonable control, including outages of payment networks, blockchains or cloud providers.
  • Notices. We'll send notices to the email address on your account. Send notices to us at support@zanora.dev.
